Tune in Web Software License Terms

Article 1 - General

Welcome to the License Terms for the Tuntonizy Web Software, which includes the website accessible at http://www.Sintonizy.com (hereinafter, the "Site") and its desktop, tablet and mobile applications (hereinafter, the "Application").

The Site and the Application are created, developed and operated by Tuntonizy Brasil (hereinafter, "Sintonizy"), a Brazilian company headquartered at the following address: Rua Campinas, 653 – Loja 2 – São Paulo – BRAZIL.

The terms described herein (hereinafter, the "Terms") exclusively govern the Tutu Web Software made available by Tutu. These terms apply above any others, especially those applicable to other software - free or paid - offered on the Site and/or the Application.

The purpose of these Terms is to define the contractual and commercial relationship between Sintanizy, on the one hand, and any Licensee of the Sintanizy Web Software (hereinafter, the "Licensee"), on the other.

The use of the Website, the Application and the TuneUp Web Software is only authorized for personal and private use; therefore, any other use, especially commercial use and use in public places, is strictly prohibited.

Acceptance of the entirety of the Terms (including the Privacy Policy), without restrictions or reservations, is a mandatory requirement for signing up for and accessing the TuneUp Web Software.

Article 2 – Presentation of the Tuntonizy Web Software

Thefittonizy Web Software is an online software offered and operated by Tuntonizy, which makes it possible, after accepting these Terms, to listen to unlimited audio recordings and other musical and cultural content (such as podcasts, radio stations and, in some territories, audiobooks ) (hereinafter, the "Recordings") in superior audio quality (compared to other services offered by Tunes, where applicable) and without advertisements. As the Tune-in Web Software cannot be accessed through Tune-in apps for cell phones and tablets, the Licensee will only have access to the Tune-in Free Streaming Software in these apps.

Tune in Web Software includes personalized music and playlists, as well as other content recommendations.

Once the subscription is made through the Site, the Licensee will have access to all the features of the Tune-in Web Software.

The main characteristics of the Web Tune-Up Software are the following:

- Unlimited access to listen to the Recordings in the Tune-in Web Software;

- No ads;

- High quality sound.

The TuneUp Web Software may be accessed by Licensee until the end of its subscription, as indicated on the subscription page of the Site at the time of subscription, or until the subscription is canceled in accordance with these Terms.

At the end of the subscription period or once the subscription is cancelled, Licensee will no longer be entitled to unlimited access or to listen to the Recordings.

Recordings can be listened to for the entire subscription period, but cannot be downloaded, transferred or recorded on any medium whatsoever.

Tuneup informs the Licensee that it disclaims all responsibility for advertisements displayed within content provided and hosted by third parties and that may be integrated or mentioned on the Site.

Article 3 – Use of the Web Tune-Up Software

Use of the TuneUp Web Software requires a high-speed Internet connection. These connections are not provided by Tunes. Therefore, Licensee must first subscribe to high-speed Internet service in order to use the Web Tune-Up Software.

The music catalog available as part of the TuneUp Web Software is linked to the agreements in force with the rightholders and, therefore, may be subject to change. Tune-in cannot guarantee the availability of any track or album or any artist or group in the Tune-Up Web Software catalogue. In addition, TuneUp cannot guarantee that any track, album, artist or group from the TuneUp Web Software catalog will be available indefinitely. Tuneup is not responsible for the withdrawal of any part of the content of the catalog available.

As a Licensee, you can activate the TuneUp Web Software on a personal computer (PC or MAC). The TuneUp Web Software is only accessible from one connection at a time. Tuneup has the technical means to verify multiple simultaneous connections from the same account and is therefore able to detect any attempts to make multiple connections.

Article 4 – Availability and Modification of the Web Tune-Up Software

The Tunes Web Software can be accessed 24 hours a day, seven days a week, within the limits of the Terms and, in particular, of Article 10 of this document.

The Recordings made available in the TuneUp Web Software are defined based on the country where the Licensee subscribed to the TuneUp Web Software (country of residence). In accordance with Regulation (EU) 2017/1128, regarding the cross-border portability of online content services in the internal (European) market, any Licensee who has subscribed to the Sintanizy Web Software in a Member State of the European Union will have access to the same content, likewise, when using the Tune-in Web Software during your temporary stay in another Member State, at no additional cost. However, TuneUp cannot guarantee the same quality of service as provided in Licensee's country of residence.

Any Licensee who subscribes to the Tune-in Web Software outside the European Union will also have access to the same content, in the same way, when using the Tune-in Web Software during their temporary stay in another country, at no additional cost. However, TuneUp cannot guarantee the same quality of service as provided in Licensee's country of residence.

Tuneup has the right to make any changes or improvements to Tuneup Web Software, if deemed necessary. However, TuneUp guarantees that such change or improvement will not affect the quality or substantially alter the features of TuneUp Web Software.

Furthermore, Tune-Up has the right to temporarily withdraw access to Tune-Up Web Software, without prior notice or compensation, when necessary to perform maintenance or to ensure service continuity. Licensee acknowledges that Tuneup cannot be held liable and waives any right to compensation and/or action against Tuneup as a result of the foregoing. Temporary interruptions to the Tune-in Web Software will be notified on the Site at least 24 (twenty-four) hours in advance, unless they are urgent. Tuneup also has the right to permanently interrupt Tuneup Web Software without any indemnity payable. Tunton will notify the permanent interruption of Tunton Web Software through the Site, at least 1 (one) month in advance. The Licensee will no longer be responsible for any payment from the interruption of the Tune-in Web Software.

Article 5 – Absence of the right of withdrawal – term – renewal – cancellation – update to the Tune-in PRO VIP Software

5.1 Non-application of the right of withdrawal (reflection period)

The Licensee expressly recognizes and agrees that the provision of the Tune-in Web Software begins at the moment that its subscription is confirmed and recognizes that, consequently, it loses its right to withdraw from the subscription. Therefore, no withdrawal, cancellation or refund requests will be accepted once the subscription has been confirmed.

5.2 Period

TuneUp offers a monthly subscription (or any other duration, depending on the offers made on the Site). Some tests and discovery periods of the Web Tune Software, of different duration, may be offered on the Site, temporarily or not. Unless otherwise noted, such trial and discovery periods will be subject to these Terms and will be limited to one subscription (same IP address and/or same email address) regardless of the trial or discovery offer.

5.3 Renewal

Unless canceled by Licensee pursuant to Article 5.4, and unless Licensee uses a non-recurring payment method, the Software subscription automatically renews for the same duration as the initial subscription. Therefore, if Licensee purchases a monthly subscription, the subscription will automatically renew each month.

Unless otherwise indicated on the Site or in the Terms, and unless Licensee cancels the subscription pursuant to Article 5.4, any trial or discovery offer will automatically be converted into a monthly subscription at the price indicated in the offer or, if applicable, otherwise, at the price applicable to the monthly subscription to the Tune-in Web Software.

5.4 Cancellation

When the subscription is made directly on the Site, in order to cancel his subscription, the Licensee must access his account and click on the “Cancel my subscription” section. Cancellation will take effect at the end of the current subscription period, if done at least 48 (forty-eight) hours before the end of the period. For an evaluation or discovery period, cancellation is effective on the date and time of cancellation as indicated in Licensee's account, unless otherwise indicated on the Site.

If the subscription was made through a partner website (such as iTunes, for example), Licensee must first check the cancellation conditions in the "My Account" section on the Site, then follow the instructions to cancel their subscription. Licensee should be aware that conditions (how to cancel, deadline for cancellation, etc.) may vary from one third-party platform to another.

5.5 Update for Tune Pro Vip Software

If the Licensee changes from the Tune-in Web Software to the Tune-in PRO VIP Software, the update will take effect immediately, once authorized by Tune-in. Once authorized, Tune-Up will immediately charge the Licensee for the Activated Tune-Up Software Subscription, even if the Tune-Up Web Software license period has not ended, which means that, if Licensee is upgrading to Tune-in PRO VIP Software during the tuning period of the Tune-in Web Software, Tune-in will charge both Licensee's subscriptions, until Licensee cancels its Tune-in Web Software subscription.

In the event of an update, there will be no refund of the amount paid for the subscription to the Tune-in PRO VIP Software.

Article 6 – Terms of Access to the Web Tune-Up Software

Licensee declares that it has the necessary capacity to accept these Terms, as it has reached the legal age to do so, and that it is not under any measure of legal protection (such as legal guardianship).

The Licensee declares that he resides in a country where the Web Tune-Up Software is available and that he has a credit card issued by a bank in that same country.

Article 7 – Creating an account

In order to subscribe to the Tune-in Web Software, the Licensee must:

- Create an account on the Site or, if you are already registered, log in to the Site;

- Provide the information required in the subscription form;

- Agree to these Terms;

- Pay the subscription price through one of the offered payment systems;

- Confirm your subscription.

The Licensee agrees to provide true, accurate and authentic personal information when registering on the Site and on the Tune-in Web Software.

Once your subscription is confirmed, TuneUp will send Licensee a confirmation email to the email address provided in the registration process.

Subject to other provisions of the Terms, a subscription to the Tune-in Web Software will only become effective after Tune-in sends the aforementioned confirmation email. Tune-in recommends that Licensee save and/or print this email.

Licensee can change the account password at any time by clicking on the "My Information" section.

The Licensee agrees to inform Sintanizy, without delay, of any changes or updates to the information provided in the Syntonizy Web Software subscription process and any changes to its e-mail address or bank details, in particular. The Licensee can modify this information at any time in his account, on the Site, by clicking on the "My information" section.

The Licensee must immediately inform TuneTony of any loss or unauthorized use of its account, its identification data and its password. The password and identification data are personal and Licensee agrees not to disclose them. Therefore, Licensee is solely responsible for the use of these elements.

Licensee is solely responsible for the consequences of misuse of its account, either by itself or by a third party who has accessed Licensee's account through fault or negligence of Licensee. Consequently, Licensee acknowledges that Tune-Up and its partners, co-contracting parties or rights holders cannot be held liable as a result of said misuse.

Article 8 - Price

The subscription price is indicated on the Site and includes all taxes.

TuneUp reserves the right to modify the price of all subscription offers from time to time. Tune-up will inform Licensee of any price increase, via an email to the address provided by Licensor at the time of subscription to the Tune-Up Software Web (or as updated in the account), at least 15 (fifteen) days before entering into force of the new price. If Licensee does not accept the price increase, Licensee may cancel its subscription pursuant to Article 5.4, and the cancellation will take effect on the expiration date of the following month. If the subscription is not cancelled, the new price will be applied to the Licensee from the expiration date of the following month.

Any increase in the amount of applicable taxes (in particular, Value Added Tax - VAT) will be automatically and immediately passed on to the price of the Tune-in Web Software. The same will occur in the event of the creation of a new tax on the price of the Tune-in Web Software and applicable to Tune-in. The conditions applicable for cancellation in the event of a change in the price of the Tuntonizy Web Software, mentioned above, also apply, under the same terms, in the event of a price change resulting from the increase or creation of new taxes.

Licensees should note that connection and communication (Internet) costs related to the use of thefittonizy Web Software are not paid by Tuntonizy and must be paid exclusively by the Licensee.

Article 9 – Payment of the price

Different payment methods are offered on the Site (credit cards, prepaid cards, PayPal and/or other payment methods).

Depending on the subscription duration chosen by Licensee, the license price must be paid monthly or annually. The first payment will be made on the day of the subscription, and the next ones will be made at the beginning of each month or each year, by direct debit, until the subscription is canceled by Licensee or Tuneup.

In order to optimize the security of transactions, Sintanizy chose the payment systems of different companies, with which it entered into an agreement. The guarantees provided by Sintanizy in terms of transaction security are identical to those obtained by Sintanizy from payment service providers.

Unless the Licensee proves the contrary, the computer records kept in the computer systems of Sintanizy and its partners, under conditions of reasonable security, will be treated as proof of communications, orders, validations and payments made between the Licensee and the Syntonizy . This information will be considered as valid proof of the relationship between Licensee and Tunes, unless Licensee is able to provide proof to the contrary in writing.

Article 10 – Licensee's Responsibility

  1. i) Licensees may post messages, information and/or comments on the Site and the desktop Application. Licensee is solely responsible for any messages, content or information published by Licensee on the Site or desktop Application; Tuneup is considered a mere Internet hosting provider and cannot be held responsible for the content published by Licensee on the Site or on the desktop Application, over which Tuneup has no control or supervision.

To avoid liability, Licensee expressly agrees to ensure that every message posted on the Site or the desktop Application complies with the following requirements (the list is not exhaustive):

- Does not infringe any intellectual property rights of third parties; therefore, Licensee agrees not to publish content — neither on the Site nor on the desktop Application — that is protected by copyright law, trademark or, more generally, any content protected by any other intellectual property rights belonging to third parties without the prior consent of the owner or owners of those rights;

- Does not contain a virus capable of interrupting, destroying or affecting the resources of the Site or the desktop Application;

- Does not celebrate crime or criminal behavior, nor does it contain messages or content that are illegal, threatening or pedophile, pornographic, defamatory, obscene, hateful, racist, anti-Semitic, xenophobic, revisionist or contrary to public order and good manners;

- Does not infringe the right to privacy or promote disrespect for human dignity;

- Does not encourage violence, fanaticism, crime, suicide, hatred linked to religion, race, gender, sexual orientation or ethnicity;

- Does not harass other Licensees;

- Does not promote or encourage any criminal activity or undertaking;

- Does not solicit and/or disclose passwords and/or personal information for commercial or illegal purposes;

- Do not transmit chain letters, unsolicited bulk emails, instant messages, advertising messages or spam messages;

- It does not contain advertisements or/or polls to offer products and/or services through the Site;

- Does not contain Internet addresses or links transferring to an external website whose content violates any applicable law or regulation, infringes third party rights or violates the Terms.

  1. ii) Licensee agrees not to use any automated system, such as scripts, for the purpose of adding Licensees to Licensee's account and/or for sending comments or messages.

iii) If the Licensee violates any law or infringes any right of third parties, Sintanizy will have the right to provide any information that allows or facilitates the identification of the violator, at the request of any legal authority (courts, administrative authorities and police forces).

Article 11 - Exemption from guarantees

Licensee declares to be aware of the purpose and limitations of the Internet network.

Consequently, Tune-Up disclaims responsibility for any malfunction in accessing the Tune-Up Web Software, the speed at which the pages are opened and can be read, the playback speed of the tracks, the temporary or permanent inaccessibility of the Tune-Up Software and for the fraudulent use by third parties of the information provided on the Site.

Therefore, it is the Licensee's duty to protect its equipment against any form of intrusion and/or contamination by viruses, for which TuneTony can never be held responsible. Tune will not be responsible for any malfunction or damage caused to Licensee's equipment.

In general, TuneTony assumes no liability in the event of a breach of its obligations as a result of acts of God or forces or causes beyond its reasonable control, including, but not limited to, failure of the Internet, computer equipment, equipment telecommunications, other types of equipment failure, power failure, strikes, labor disputes, riots, insurrections, civil disturbances, labor or material shortages, fire, floods, storms, explosions, acts of God, war, government actions , orders from national or foreign courts, failure of third-party services, lack or fluctuations in heating, light or air conditioning and, in general, for any irreversible and unforeseen event that prevents orders from being successfully carried out.

Tune-in disclaims all responsibility if Tune-in Web Software is found to be incompatible with certain items and/or features of Licensee's equipment.

Finally, Licensee is solely responsible for the use it makes of the Tune-in Web Software and may not hold Tune-To responsible for any claim and/or proceeding against Licensee based on such use. The Licensee will be responsible for any claim, denouncement or impugnation and, more broadly, for any proceedings filed by third parties against Sintanizy, in relation to the use of thefittonizy Web Software made by the Licensee.

Article 12 – Intellectual property

The general structure of the Site, Application, Web Tune-Up Software and all the elements that compose it (such as, but not limited to, logos, domain names, tracks or videos and their associated elements, such as photos, images, texts and biography of the authors, artists and/or of any legal beneficiary of the tracks or videos, as well as the visual elements on the packaging) are the exclusive property of Tutunizy and/or its licensors (mainly record and video producers, record labels and copyright society).

All songs and videos are collected and made available and transferred the copyright of the artists and others that make up the artist's work.

These elements are protected by intellectual property and other laws, especially copyright law. Licensee may only use these elements for the purpose of using the Tune-in Web Software in accordance with these Terms.

Any partial or total representation of the Site, Application, Web Software, and/or the elements that compose them (as described above), by any means, without the express consent of Tuntonizy, is prohibited, a hypothesis that will be considered a violation punishable by law. .

The use of any hyperlink to the Site, the use of "framing" (a programming technique that allows the division of browser windows into separate frames to display the content of an external website) and the use of "in-line linking" (programming technique to make an element extracted from another website disappear on a page, which saves storage space on the hard disk where the Website is hosted and hides, from an uninformed user, the original content of which the element is part). Any unfair use of a TuneUp account (such as, for example, aiming to artificially or atypically increase the number of plays of certain specific music tracks), through automated processes, such as robots and scripts, or through any other means, is strictly forbidden.

The Recordings of the Sintanizy Web Software are digital files protected by national and international copyright and related rights. Therefore, they can only be reproduced in a private or family environment. Any use for non-private purposes will expose the responsible Licensee to civil and/or criminal proceedings. Any other use of the Recordings is strictly prohibited, and specifically, downloading or attempting to download, transferring or saving - permanently or temporarily - to a computer's hard drive or any other device (music players in particular), ripping, recording or attempting to rip or recording on a CD or any other medium are expressly prohibited. Resale, exchange or rental of these files is strictly prohibited.

The Licensee acknowledges that the Recordings made available on the Site or in the Application are protected by technical protection measures created by Tutunizy in order to prevent or limit, depending on the technology offered, the unauthorized use of the Recordings.

The Licensee agrees not to circumvent these technical protection measures, by any means, for the purpose of downloading these files and allowing them to be stored in their reception terminal, whatever it may be (computer, cell phone, music player or other disc player portable etc.).

Article 13 – Suspension and/or cancellation initiated by Tuneup or Licensee

Without prejudice to any damages that Tune-in may claim, Tune-in has the right to suspend the Licensee's access to the Tune-in Web Software and/or cancel its subscription to the Tune-in Web Software, without prior notice or compensation, if the Licensee:

- Failure to comply with the Terms and especially:

  • Failing to respect the Intellectual Property rights of Tutunizy or its licensors;
  • Circumventing or attempting to circumvent the technical protection measures applied by Tuneup;
  • Using, or attempting to use, multiple simultaneous connections to the same account;
  • Providing false information, either when subscribing to the Tune-in Web Software or later.

- Not paying the full subscription price, or part of the price.

- Carry out activities that are harmful to the commercial interests of Tuneup.

The Licensee may cancel the agreement or subscription, without notice or compensation in favor of Tuneup, if Tuneup violates its main obligations as defined in the Terms, or for legitimate reasons such as, in particular, the theft of your computer or with based on technical incompatibility between the Tune-in Web Software and Licensee's equipment.

Article 14 - Changes to the Terms

TuneUp has the right to modify the Terms at its sole discretion. TuneUp will inform Licensee, via email (to the address provided in Licensee's account), of any changes to the Terms, at least 1 (one) month before they come into effect. If Licensee does not accept these changes, Licensee is free to cancel its subscription by logging into its account on the Site as mentioned in Article 5.4 above. The cancellation will take effect on the subscription expiration date in the following month. If Licensee does not cancel its subscription, the amended Terms will become effective one (1) month after Licensee's receipt of notice of amended Terms.

Users of the tuning site will be able to:

  • Listening and consulting participate through posts, reactions and comments;
  • publish images, links and other content under the conditions set out in these Terms;
  • Interact with Users, moderators who are registered with Tuntonizy and/or Tuntonizy's customer service through comments and/or private messages.

Intellectual property

The general structure of the Site, the Application, the Free Streaming Software and all the elements that compose it (such as, but not limited to, logos, domain names, tracks or videos and their associated elements, such as photos, images, texts and biography of the authors, artists and/or any legal beneficiary of the tracks or videos, as well as the visual elements on the packaging) are the exclusive property of SINTONIZY and/or its licensors (mainly record and video producers, record labels and copyright societies).

These elements are protected by intellectual property and other laws, especially copyright law. You may use these elements for the purpose of using the Free Tune-Up Streaming Software in accordance with the Terms.

Any partial or total representation of the Website, the Application, the Free Streaming Software and/or the elements that make up this software (as described above) by any means, without the express consent of Tuntonizy, is prohibited, a hypothesis that will be considered a violation punished by law.

The use of any hyperlink to the Site, the use of "framing" (a programming technique that allows the division of browser windows into separate frames to display the content of an external website) and the use of "in-line linking" (programming technique to make an element extracted from another website disappear on a page, which saves storage space on the hard disk where the Website is hosted and hides, from an uninformed user, the original content of which the element is part). The Free Tune-Up Streaming Software Recordings are digital files protected by national and international copyright and related rights. Therefore, they can only be reproduced in a private or family environment. In case of any use for non-private purposes, the Tune-Up Licensee will be subject to civil and/or criminal proceedings. Any other use of the Recordings is strictly prohibited, and specifically, downloading or attempting to download, transferring or saving - permanently or temporarily - to a computer's hard drive or any other device (music players in particular), ripping, recording or attempting to rip or recording on a CD or any other medium are expressly prohibited. Resale, exchange or rental of these files is strictly prohibited.

The Tune-Up Licensee acknowledges that the Recordings made available on the Site or the Application are protected by technical protection measures created by Tune-Up in order to prevent or limit, depending on the technology offered, the unauthorized use of the Recordings.

The Tune-Up Licensee agrees not to circumvent these technical protection measures, by any means, for the purpose of downloading these files and allowing them to be stored in their reception terminal, whatever it may be (computer, cell phone, music player or other portable disc player, etc.).

Suspension and/or cancellation of the Tune Free by Tune or the Licensee

Without prejudice to any damages that Tune-in may claim, Tune-in has the right to suspend the Licensee's access to the Tune-in Free Streaming Software and/or cancel the Tune-Free Streaming Software subscription, without prior notice or compensation, if the Licensee :

- Failure to comply with the Terms and especially:

o Infringe the intellectual property rights of Tutunizy or its licensors;

o Circumventing or attempting to circumvent the technical protection measures created by Tuneup;

o Use or attempt to use multiple simultaneous connections with the same account;

o Providing false information when subscribing to Free Tune-Up Streaming Software.

- Carry out activities that are harmful to the commercial interests of Tuneup.

Tune-in Free Licensees may delete their account from the Site at any time, in the "My Account" section.

Changes to the Terms

TuneUp has the right to modify the Terms at its sole discretion. Tuneup will inform the Licensor of Tuneup Free, by e-mail (address provided in the Licensee's account), of any changes to the Terms, at least 1 (one) month before they come into force. If the Tune-Up Licensee does not accept these changes, it may delete its account from the Site if it so wishes, as provided in Article 9. Unless the Tune-Up Licensee deletes its account, the amended Terms will come into effect one (1) month after receiving notification of the change to the Terms.
